Terms of Service

Simple, India-ready terms for using CA Copilot. If you are using the Service on behalf of an organization, you confirm you have authority to bind that entity.

1. Agreement

These Terms form a binding agreement between CA Copilot (“we”, “us”) and the customer entity or individual (“you”). By accessing or using the Service, you accept these Terms and our Privacy Policy.

2. Accounts & Roles

  • Customer Admins create tenant accounts, assign roles (staff/reviewer/client) and configure access.
  • You are responsible for user activity within your tenant and for safeguarding credentials and devices.
  • We may suspend accounts that pose security risks or violate these Terms.

3. Acceptable Use

  • Comply with applicable laws and do not misuse the Service (including unauthorized access, reverse engineering, or transmission of malware).
  • Do not upload unlawful or infringing content; you are responsible for obtaining necessary rights and consents.
  • Respect rate limits and storage quotas that may apply.

4. Intellectual Property

We retain all rights in and to the Service, including software, documentation and branding. You retain all rights to your content. No rights are granted except as expressly stated.

5. Confidentiality

“Confidential Information” means non‑public information disclosed by either party that is designated as confidential or should reasonably be considered confidential. Each party will protect the other’s Confidential Information with the same degree of care it uses to protect its own (at least reasonable care) and use it only to perform its obligations. Exceptions apply where disclosure is required by law (with notice where lawful).

6. Data Processing & Privacy

  • We process personal data as a service provider to your firm for the purpose of delivering the Service.
  • Security measures include HTTPS/TLS, presigned uploads, encryption at rest by our cloud provider, role-based access and audit logs. See Security.
  • Deletion: on request from a Customer Admin, we will delete specific client/period data subject to legal obligations and backup windows.
  • Subprocessors: we use reputable infrastructure providers and maintain an up-to-date list on request.

7. Availability & Support

These are targets, not guarantees. We may offer enhanced SLAs in a separate agreement.

8. Fees & Taxes

Fees are as agreed in ordering documents or invoices. Prices are exclusive of applicable taxes and government charges, which you are responsible for paying.

9. Disclaimers

The Service is provided “as is” and “as available.” To the extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose and non‑infringement.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will either party be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenues, data or business opportunities, even if advised of the possibility. Our aggregate liability arising out of or relating to the Service will not exceed the amounts paid by you for the Service in the twelve (12) months before the event giving rise to liability.

11. Indemnity

You will defend and indemnify us against third‑party claims arising from your content or misuse of the Service, subject to prompt notice and reasonable cooperation.

12. Term & Termination

  • These Terms start when you first use the Service and continue until terminated.
  • Either party may terminate for convenience with written notice. We may terminate or suspend immediately for cause (e.g., legal risk or security concerns).
  • Upon termination, we will delete or return Customer Data upon admin request, subject to legal obligations and backup retention.

13. Governing Law & Disputes

These Terms are governed by the laws of India. The courts located in Mumbai, Maharashtra, India shall have exclusive jurisdiction. Before litigation, the parties will attempt good‑faith resolution through senior‑level discussions.

14. Changes

We may update these Terms to reflect changes to the Service or legal requirements. We will post the updated Terms with a revised “Last updated” date and notify admin users where appropriate. Continued use after changes means acceptance.
